MEMBER AgreemenT

The Healthcare Coalition of Rhode Island (HCRI) website is designed to provide approved users with improved situational awareness during day-to-day operations, planned events, and large-scale disasters. HCRI WEBSITE MEMBER ONLY SECTION is made up of subpages, providing a directory of members, HCRI documents, a forum for members, education and training opportunities for members only, announcements, HCRI member software links (credentials still required), member highlights and success stories. While some of the information contained herein is public information, some other information is proprietary and at times may include confidential health care facility information. Access to HCRI WEBSITE MEMBER ONLY SECTION is provided to Authorized Users for the sole purpose of conducting business of the healthcare sector, emergency medical services, emergency management, and/or public health during day-to-day operations and during emergencies.  

By using HCRI WEBSITE MEMBER ONLY SECTION, you agree to the following terms with the Rhode Island Department of Health and its general principles for this website. This Agreement is effective on August 20, 2019, for current users, and upon acceptance for new users. You accept this User Agreement by when signing on to the HCRI WEBSITE MEMBER ONLY SECTION; accessing or using HCRI WEBSITE MEMBER ONLY SECTION’s sites, services, and tools; or as otherwise indicated on a specific site, service, or tool.  

This User Agreement subjects you the user to any liability, criminal or civil, that may arise from the unlawful redisclosure of proprietary, protected, and/or confidential health care facility information by you or by a third party you allow to have access to this website. You hereby agree that you are responsible for your use of, and the use of those you allow to access, this website. You hereby agree you will be liable for indemnification of any party that is held liable for the misuse of this website by you and/or anyone you allow to access it. You hereby agree not to redisclose information to third parties except as permitted by law and by the terms of this User Agreement. 

Without limiting other remedies, we may, in our sole discretion, limit, suspend, or terminate our services and user accounts, prohibit access to our sites, services, and tools, and their content, delay or remove hosted content, and take technical and legal steps to keep users from using our sites, services, or tools, if we think that they are creating problems or possible legal liabilities, infringing the intellectual property rights of third parties, or acting inconsistently with the letter or spirit of our policies. We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a long time, or to modify or discontinue sites, services, or tools. 

You will indemnify and hold us (and our affiliates and vendors, and our and their respective officers, directors, employees, and agents) harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this User Agreement, your improper use of HCRI WEBSITE MEMBER ONLY SECTION sites, services, or tools, and/or your violation of any law or the rights of a third party.  

No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by this User Agreement. 

We respond to notices of alleged copyright infringement as required by the United States Digital Millennium Copyright Act, Section 512(c) of Title 17 of the United States Code. 

You agree that you are making use of our sites, services, and tools at your own risk, and that they are being provided to you on an “AS IS” and “AS AVAILABLE” basis. Accordingly, to the extent permitted by applicable law, we exclude all express or implied warranties, terms, and conditions including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In addition, to the extent permitted by applicable law, we are not liable, and you agree not to hold the Rhode Island Department of Health responsible, for any damages or losses resulting directly or indirectly from your use of HCRI WEBSITE MEMBER ONLY SECTION.  

This agreement shall remain in effect indefinitely but shall terminate for any user who withdraws from HCRI WEBSITE MEMBER ONLY SECTION upon withdrawal. The Rhode Island Department of Health reserves the right to terminate this agreement with any user for misuse or other good cause.
